The reporting person participates in the Chesapeake Utilities Corporation (CPK) Non-Qualified Deferred Compensation Plan (NQDC Plan) where Deferred Stock Units (DSUs) are automatically distributed on a one-for-one basis, less shares not distributed to cover tax liabilities, into shares of CPK common stock based on a distribution date previously determined at the time of election. On June 6, 2025, the reporting person received a distribution of 344 shares of CPK common stock in settlement of an equal number of DSUs held pursuant to the NQDC Plan.
