Pursuant to terms of the Nonemployee Directors' Deferred Compensation Plan approved by the Board of Directors on February 11, 2000 and amended and restated on May 6, 2020, Ms. Sherman elected to receive her 2025 Board of Directors retainer, stock award, chairperson fee and committee member fees in Franklin Electric Co., Inc. common stock, issuance of such shares deferred until January 1, 2029 to be paid in a series of four annual installments. On May 2, 2025, Ms. Sherman was credited with 962.08 Stock Units for the annual retainer, 1,641.20 Stock Units for the annual stock award, 1,188.46 Stock Units for chairperson fees, and 135.82 Stock Units for committee chair/member fees. At distribution, Ms. Sherman may elect pursuant to the terms of the Plan to receive her deferred compensation either in shares of Franklin common stock or in cash.
