This transaction represents a bona fide gift of shares by the Reporting Person to an irrevocable trust established for estate planning purposes for the benefit of the Reporting Person's adult children. The trust is administered by two independent trustees, and the Reporting Person does not retain the power to revoke the trust or to vote or dispose of the securities held by the trust.
