The reporting person was granted an award of performance shares which previously vested. The reporting person elected to defer settlement of a portion of the underlying performance shares, which have fully vested and will become payable, in cash or common stock of the Issuer, at the Issuer's option, upon the reporting person's termination of service with the Company, or on specified future dates, pursuant to the reporting person's deferral elections under the Issuer's Deferred Compensation Plan. Each vested performance share unit is the economic equivalent of one share of JKHY common stock and represents a right to receive one share of JKHY common stock or, at the Issuer's option, the cash value thereof on the scheduled settlement date pursuant to the reporting person's performance deferral election.
