As disclosed in the Issuer's Current Report on Form 8-K filed with the Securities and Exchange Commission on March 2, 2026, the Committee subsequently took action to provide for the payment of such earned performance share unit awards in cash rather than Issuer common stock upon vesting. The settlement in cash is exempt under Rule 16b-3(e).
