Wong Man Ching is the sole director and sole shareholder of Elements, and as a result, Ms. Wong may be deemed to have beneficial ownership of the securities held by Elements. | The Series A Convertible Preferred Stock (the "Preferred Stock") is convertible into shares of common stock, par value $0.01 per share ("common stock") of FiEE, Inc. (the "Issuer") at a ratio of 1.4 shares of common stock for each share of Preferred Stock, subject to a 19.99% beneficial ownership limitation. Preferred Stock votes on matters of the Issuer on an as-converted basis, without regard to such beneficial ownership limitation. The right to convert shares of Preferred Stock into shares of common stock does not expire.
