Represents restricted stock units ("RSUs") granted to the Reporting Person on August 13, 2025 (the "Grant Date") and is subject to the terms and conditions of the Issuer's 2024 Incentive Compensation Plan. Each RSU represents a contingent right to receive one share of the Issuer's common stock upon vesting.
