Acquired in connection with Capital One Financial Corporation's ("Capital One") acquisition of Discover Financial Services ("Discover") on May 18, 2025. Pursuant to the merger agreement, each issued and outstanding share of Discover common stock held by the reporting person was converted into the right to receive 1.0192 shares of Capital One common stock. All fractional share holdings were paid in cash. On May 16, 2025, the closing price of Capital One common stock was $197.22, and the closing price of Discover common stock was $200.05. | Restricted stock units which vest in their entirety and settle in shares of the Company's common stock on May 18, 2026. The reporting person will also be entitled to additional shares representing dividends accrued on the shares issuable at settlement.
