The Liberty Funds (defined below) received Common Shares in exchange for Class A Voting Common Shares and Class B Non-Voting Common Shares of the Issuer previously held by them in connection with the plan of arrangement that resulted in the separation of the motion picture and television studio operations (the "LG Studios Business") of the Issuer from its other businesses, including the STARZ-branded premium subscription platforms (the "Starz Business").
