Pursuant to a power of substitution, on May 6, 2025, the Reporting Person transferred 288 shares of common stock of the Issuer from a trust account in exchange for assets of equal value. The transfer was made at a price per share equal to $353.575 (the average of the high and low prices of shares of common stock of the Issuer on May 6, 2025). The transfer resulted in a decrease in the number of shares the Reporting Person beneficially owns indirectly through the trust and a corresponding increase in the number of shares the Reporting Person beneficially owns directly, but therefore did not change the total number of shares of common stock of the Issuer of which the Reporting Person may be deemed to have beneficial ownership.
