("New Lionsgate") (f/k/a Lionsgate Studios Holding Corp.), each share of Issuer's common shares, without par value, held by the Reporting Person were transferred on the terms described in the joint proxy statement/prospectus included in the Registration Statement on Form S-4). Thus, the Reporting Person is no longer a 10% owner of Issuer.
