Immediately prior to the completion of the Issuer's initial public offering, each share of Common Stock held by the Issuer's founders and certain related individuals, including shares of Common Stock underlying performance stock unit ("PSU") awards, were reclassified into one share of Class B Common Stock, and each share of Common Stock underlying stock options held by the Reporting Person's spouse were reclassified into one share of Class A Common Stock, each in an exempt transaction pursuant to Rule 16b-7. | Each share of Class B Common Stock is convertible at any time at the option of the holder into one share of Class A Common Stock.
