Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock. | Represents the number of shares sold to cover the tax withholding obligations in connection with the vesting of RSUs and does not represent a discretionary sale by the Reporting Person. | Represents the weighted average share price of an aggregate total of 3,786 shares sold in the price range of $62.935 to $63.925 by the Reporting Person. The Reporting Person undertakes to provide upon request by the Commission staff, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price. | Represents the weighted average share price of an aggregate total of 8,449 shares sold in the price range of $63.925 to $ 64.785 by the Reporting Person.
