Represents Class A common stock of the Issuer acquired upon settlement of a restricted stock unit award previously granted to the Reporting Person. | Restricted stock units convert into shares of Class A common stock of the Issuer on a one-for-one basis. | Shares owned by a trust for the benefit of the Reporting Person's spouse, of which the Reporting Person's spouse is the trustee.
