These shares were acquired pursuant to a restricted stock unit award under the Company's 2024 Stock Option and Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of the Company's Common Stock. The restricted stock units will vest in equal quarterly installments over a one-year period from the date of grant, with the final installment vesting upon the first anniversary of such grant date (or, if earlier, immediately prior to the Company's 2026 annual meeting of stockholders).
