The subject transaction represents the forfeiture and cash settlement of 15,814 shares of common stock underlying an RSU award, originally awarded to the Reporting Person on June 15, 2024 and reported at that time as common stock in Table I, to satisfy the foreign tax obligation that accrued upon the vesting of 35,141 shares of common stock underlying such RSU award. The 15,814 shares of common stock underlying such award were cash settled at a price of $3.84 per share for an aggregate cash settlement of $60,725.76, which amount is approximately equal to (based on applicable foreign exchange rates), but does not exceed, the foreign tax obligation of the Reporting Person.
