For estate planning purposes, the reporting person and his spouse transferred their general partnership interests in Twenty-Three Oaks, LP (the "Limited Partnership"), to Rattlesnake Hill, LLC, a limited liability company owned 100% by the reporting person's children, who are also the limited partners of the Limited Partnership. The reporting person and his spouse no longer have any beneficial ownership in or control over the 113,454 Issuer shares held by the Limited Partnership. | This indirect ownership represents shares owned by trusts in which Mr. Edwards is trustee and Administrator. Mr. Edwards disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that Mr. Edwards is the beneficial owner of such securities for purposes of Section 16 or any other purpose.
