This line item reflects the deemed disposition of shares withheld by the Company to satisfy income tax withholding requirements in connection with the exercise of the Options. | The option representing a right to purchase a total of 41,502 shares, became exercisable in three equal annual installments beginning on July 10, 2021 which was the first anniversary of the date on which the option was granted. | On May 30, 2023, the reporting person filed a Form 4 which inadvertently underreported the number of shares withheld by the Company to satisfy income tax withholding requirements in connection with the exercise of an option by 6,316 shares. As reported in this amendment, 13,158 shares were in fact withheld. As a result, the total amount of securities beneficially owned was incorrectly reported on subsequent Form 4s filed for the reporting person.
