This option was granted on June 12, 2025 and vests in full on the earlier to occur of the one-year anniversary of the grant date and immediately prior to the Issuer's next annual meeting of stockholders occurring after the grant date, and will vest automatically as to 100% of the unvested portion of such option upon specified change in control events. | Consists of options to purchase shares of the Issuer's common stock awarded to Adam Stone in connection with his role as a member of the Issuer's Board of Directors. Mr. Stone is the Chief Investment Officer of Perceptive Advisors, LLC (the "Advisor").
