Represents restricted stock units ("RSUs") subject to time-based vesting conditions. Each restricted stock unit ("RSU") represents the contingent right to receive, upon vesting of the RSU, one share of the Issuer's common stock. The shares subject to this RSU vest in four annual installments over four years, with the first annual installment to vest on April 15, 2026 and each additional installment to vest annually thereafter; provided the reporting person continues to have a service relationship with the Issuer on each such vesting date. | Represents performance based RSUs subject to performance- and time-based vesting conditions (the "PSUs"). The amount reported herein represents the maximum number of shares of the Issuer's common stock that may be issued under this award. The shares subject to this PSU vest in tranches of a combination of performance vesting tied to the Issuer's common stock achieving certain price targets and time-based vesting over four years, provided the reporting person continues to have a service relationship with the Issuer on each such vesting date. Any PSUs that have not vested on or prior to April 27, 2029 will be forfeited for no consideration.
