In connection with the vesting of restricted stock units which vested as of various dates, a total of 4,834 of the underlying shares were sold by the Issuer in order to satisfy the Reporting Person's tax withholding obligations. The Reporting Person had no discretion with respect to such sale, which was conducted automatically in accordance with the Issuer's corporate policies regarding the vesting of restricted stock units. | Reflects the weighted average sale price of multiple same-way open market sale transactions effected by the Reporting Person on the same day at different prices through a sale order executed by a broker-dealer.
