Effective as of November 1, 2023, Mr. Ni, HF Foods Group, Inc. (the "Company"), Chan Sin Wong, and James C. Bishop (collectively, the "Parties") entered into an Amendment to the Stipulation of Settlement (the "Amendment") in connection with the settlement of an action pending in Delaware Court of Chancery Bishop v. Ni, et al. C.A. No. 2022-0736-JTL (the "Settled Action"). The Parties agreed to enter into the Amendment, pursuant to which Mr. Ni would transfer all right, title and interest in and to 1,997,423 shares of Common Stock (the "Transferred Shares"), free and clear of all Encumbrances (as defined in the Amendment) (such transfer, the "Share Payment"). On December 1, 2023 in accordance with the Amendment, Mr. Ni transferred all necessary documents to transfer, assign and convey the Share Payment to the Company.
