This Form 4 is jointly filed by Nathaniel Bradley ("Mr. Bradley") and EOS Technology Holdings Inc. ("EOS"). The shares of common stock, par value $0.0001 per share (the "Common Stock") of the issuer are beneficially owned both directly and indirectly, as outlined above and more fully described below, by Mr. Bradley. 180,000 shares of Common Stock of the issuer were transferred by EOS to a third party in pursuant to a side letter, dated as of September 23, 2025, (the "Side Letter") in connection with a consulting agreement, dated as of August 19, 2025 (the "Consulting Agreement"). Both the Consulting Agreement and the Side letter are by and between EOS and the consultant under the Consulting Agreement. | Mr. Bradley, as an officer and member of the board of directors of EOS, has the power to dispose of and the power to vote the shares of Common Stock beneficially owned by EOS.
