The Reporting Person received an award of 1,341,840 restricted stock units ("RSUs") on March 18, 2026 pursuant to the terms and conditions of his Employment Agreement, dated September 22, 2025, as amended by the Amendment to the Employment Agreement, dated February 18, 2026 (the "Employment Agreement"), which was previously approved by the Issuer's board of directors.
