Represents the grant of performance-based vesting Restricted Stock Units. Each Restricted Stock Unit represents a contingent right to receive one share of HALO common stock. The target number of Restricted Stock Units subject to the award is indicated. Up to two hundred percent (200%) of the target Restricted Stock Units could vest if the average closing price of HALO common stock over a period of 20 consecutive trading days during a four-year performance period following the grant of the award equals or exceeds certain price levels specified in the award (with 50% of target number of units vesting at $115 and an additional 50% of the target number of units vesting at each of $130, $145 and $170) and, in each case, only if the Reporting Person remains employed with the Registrant through the end of the performance period (subject to certain exceptions provided in the applicable award agreement).
