This award represents a grant of restricted stock under the Archrock, Inc. 2020 Stock Incentive Plan that vests over a three-year period of employment at the rate of one-third per year beginning on or about the first anniversary of the grant date. The award is subject to accelerated vesting, forfeiture and/or cash settlement under certain conditions as set out in a Change of Control Agreement, Severance Benefit Agreement, Retention Incentive Agreement and an Award Notice and Agreement entered into by the Issuer and the reporting person.
