Each restricted stock unit ("RSU") represents a conditional right to receive one share of common stock of the issuer. | The RSUs vest as to 50% on the third anniversary of the date of grant, and the remaining 50% of the RSUs vest ratably on each of the fourth, fifth and sixth anniversaries of the date of grant, and convert into an equivalent number of shares of common stock of the issuer.
