On November 9, 2025, Richard A. Burnett informed Nine Energy Service, Inc. (the "Issuer") of his intention to resign from the board of directors of the Issuer, effective immediately. Pursuant to the Restricted Stock Agreement, dated as of May 8, 2025, between the Issuer and Mr. Burnett, these shares of restricted stock, to vest on May 8, 2026 (the first anniversary of the grant date), were awarded to Mr. Burnett for his membership on the Issuer's board of directors and are thus forfeited upon such termination of directorship.
