Pursuant to the terms of the Transaction Agreement (the "Agreement"), dated August 20, 2025, by and among the Issuer, XRA 5 Corp. ("Sub"), a Delaware corporation and wholly-owned subsidiary of XOMA Royalty Corporation, a Nevada corporation, Sub acquired all the issued and to be issued share capital of the Issuer (the "Acquisition") for a cash purchase price of $2.035 per share (the "Scheme Consideration"), as of December 5, 2025 (the "Effective Time"). | Includes the disposition of 220,148 unvested restricted stock units ("RSUs").
