Each restricted stock unit ("RSU") represents a contingent right to receive one share of Ventyx Biosciences, Inc. common stock. | Represents a broker-assisted sale to satisfy the Reporting Person's tax withholding obligations in connection with the vesting of restricted stock units. | Represents the weighted average share price of an aggregate total of 12,675 shares sold in the price range of $7.595 to $7.85. The reporting owner undertakes to provide upon request by the Commission staff, the issuer or a security holder of the issuer, full information regarding the number of shares sold at each separate price. | Subject to the reporting person's continuing to be a Service Provider (as defined in the 2021 Equity Incentive Plan) through such applicable vesting date, twenty five percent (25%) of the RSUs subject to the award shall vest on the one (1) year anniversary of the Vesting Commencement Date, and twenty five percent (25%) of the RSUs subject to the award shall vest on each of the next three Vesting Commencement Date anniversaries thereafter.
