(the "Issuer") entered into an Underwriting Agreement (the "Underwriting Agreement") in connection with a firm commitment underwritten public offering (the "Offering"), which closed on January 30, 2026. The reporting person purchased 333,333 shares of Class A Common Stock in the Offering at the public offering price of $1.50 per share.
