On January 29, 2026, Artal Participations S.a r.l. entered into a purchase agreement with the Issuer pursuant to which Artal Participations S.a r.l. agreed to purchase 22,400,000 shares of common stock par value $0.001 per share (the "Common Stock") of the Issuer at a price of $1.30 per share (the "Purchase Price"). On January 30, 2026, Artal Participations S.a r.l. assigned its right to purchase from the Issuer 3,846,154 shares of Issuer Common Stock to Invus Public Equities, L.P., and Invus Public Equities, L.P. agreed to purchase directly from the Issuer 3,846,154 shares of Issuer Common Stock at the Purchase Price.
