The options were granted under the 2025 Supplemental Option Plan of the Issuer. The options vested immediately, but were not exercisable until or unless the closing of the transactions contemplated by the July 29, 2025, Securities Purchase Agreement between the Issuer and the purchasers set forth therein occurred, which closing date was August 4, 2025. Separately, the options are not exercisable until stockholder approval of the 2025 Plan is received. If stockholder approval is not received prior to July 29, 2026, the options will be cancelled. | Issued to the Reporting Person in consideration for services rendered and agreed to be rendered to the Issuer as a director of the Issuer.
