On April 6, 2026, the Issuer determined that the Reporting Person received 728,504.11 Class S Common Shares of the Issuer, effective as of April6, 2026, in exchange for limited partnership interests (the "LP Interests") of HL CIF Holdings LP and HL CIF Holdings Direct LP, each then a subsidiary of HL Credit Income Private Fund LP, a Delaware limited partnership managed by the Reporting Person and of which the Reporting Person was a limited partner (the "Transaction"). The LP Interests were contributed by HL Credit Income Private Fund LP as of April 6, 2026, to the Issuer, based on the Issuer's determination of the net asset value of the LP Interests as of April 2, 2026 in exchange for a commensurate amount of Class S Common Shares of the Issuer. Following the Transaction, HLCIF Holdings LP and HL CIF Holdings Direct LP became subsidiaries of the Issuer.
