Each share of Series B Common Stock is convertible, at the holder's election, into one share of Series A Common Stock, at any time for no consideration other than the surrender of the share of Series B Common Stock for each share of Series A Common Stock. | On July 14, 2025, the Issuer distributed (the "Distribution") .20 of a share of GCI Liberty, Inc.'s Series A, B and C GCI Group Common Stock to holders of the Issuer's Series A, B and C Common Stock, respectively, for each applicable whole share of the Issuer's Series A, B and C Common Stock owned by such holders of record on the record date for the Distribution, with cash (with no interest) paid in lieu of fractional shares.
