This represents an annual award of restricted stock units ("RSUs") to the Issuer's non-employee directors. Each RSU represents a contingent right to receive one share of the Issuer's common stock upon vesting. The RSUs vest in four equal quarterly installments from the vesting commencement date of June 17, 2025, subject to the individual's continued status as a Service Provider (as defined in the Issuer's 2024 Equity Incentive Plan (the "Plan")) through the applicable vesting date; provided, however, that any then-unvested RSUs shall vest in full (i) on the day immediately prior to the date of the Issuer's next annual stockholder meeting or (ii) if the Issuer is subject to a Change in Control (as defined in the Plan), subject in each case to the individual's continued status as a Service Provider through such vesting date. | Shares held by the Dale B.
