Represents restricted stock units (RSUs) granted pursuant to the Non-Employee Director Compensation Program. Each RSU represents a contingent right to receive one share of Common Stock. The RSUs vest in full on the earlier to occur of (i) the one-year anniversary of the applicable grant date and (ii) the date of the next Annual Meeting following the grant date, subject to the Reporting Person's continued service through the vesting date.
