The annual awards granted to all directors on December 31 of each year, under the 2007 Stock Incentive Plan as amended ("Plan"), increased from $25,000 to $50,000. This represents additional restricted stock units granted to the Reporting Person, under the Plan, which vested on January 1, 2026. | The price represents the closing price of the Issuer's Class A common stock on December 31, 2025. | This amount includes (a) securities acquired by the Reporting Person (b) Class A common stock attributable to vested restricted stock units that were awarded under the Plan and (c) unvested restricted stock units that were awarded under the Plan.
