Shares issued based upon the vesting of certain Performance Stock Units ("PSUs") granted to the Reporting Person in 2023, 2024 and 2025 under the Issuer's Equity Incentive Plans ("EIP"). The PSUs were granted subject to performance and service based vesting conditions.
