Represents an equal number of restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock on the date it vests. The RSUs will vest in full on the earlier of the one-year anniversary of the RSUs grant date or the day immediately prior to the date of the next annual meeting of the Issuer's stockholders that occurs after the RSUs grant date, subject to the Reporting Person continuing to be an Outside Director (as defined in the Issuer's Outside Director Compensation Policy) through such vesting date.
