Represents deemed disposition of shares of common stock to the Issuer as a result of withholding of shares of common stock to satisfy tax withholding obligations in connection with vesting of restricted stock units issued in accordance with Rule 16b-3. | On January 2, 2025, the Reporting Person was granted performance-based restricted stock units (RSUs), which were subject to vest if, prior to December 31, 2027, the average of the closing price of the Issuer's common stock over any 45-consecutive trading day period was at least 20% higher than $3.34 (i.e., at least $4.01). This performance condition was met on May 27, 2025 and 100% of the performance-based RSUs vested.
