These securities are restricted stock units ("RSUs"). Each RSU represents a contingent right to receive one share of Common Stock. The RSUs shall vest on the earlier of the twelve-month anniversary of June 5, 2025 or the day before the next annual stockholder meeting, subject to the Reporting Person continuing to be a Service Provider through such date. The Reporting Person previously elected to defer receipt of the shares of Common Stock underlying RSUs upon vesting.
