On June 11, 2025, issuer granted to the reporting person 15,131 restricted stock units. Each restricted stock unit represents a contingent right to receive one share of issuer's common stock. The restricted stock units vest on the earlier of (a) the next annual meeting of stockholders and (b) the death or resignation of the reporting person. In the event of death or resignation of the reporting person, the grant will vest pro-rata based on the number of actual days served by the reporting person from the time of the grant to such death or resignation, divided by 365. | These shares are held by Squadron Capital LLC ("Squadron"). As one of two members of the Managing Committee of Squadron, the reporting person may be deemed to be the beneficial owner of these shares. The reporting person expressly disclaims beneficial ownership of these shares, except to the extent of his pecuniary interest therein. The inclusion of these shares in this report shall not be deemed to be an admission of beneficial ownership for purposes of Section 16 or for any other purpose.
