Options granted under the Issuer's 2024 Equity Incentive Plan (the "Plan"), pursuant to the Issuer's Non-Employee Director Compensation Program, as amended, which states that upon the conclusion of each regular annual meeting of the Company's stockholders, each non-employee director who continues to serve as a member of the Company's Board of Directors thereafter will automatically be granted a stock option under the Plan for 14,750 shares of the Company's Class A Common Stock. Option will vest in full on the earlier of (i) June 26, 2026, the one-year anniversary of the date of grant, or (ii) the next regular annual meeting of stockholders, subject to the Reporting Person's continuous service.
