This Form 4 amendment is being filed solely to correct an administrative error associated with the Form 4/A filed by the reporting person on December 17, 2025 (the "December Form 4/A"), which amended a Form 4 filed on December 16, 2025 (the "Original Form 4"). The December Form 4/A was filed in connection with a determination that 208 shares were not transferred by the reporting person by gift on December 15, 2025, which transfer had been included within the total number of shares transferred on such date by gift as reported on the Original Form 4. Following the filing of the December Form 4/A, it was determined that such transfer of 208 shares via gift had in fact been executed on December 15, 2025, and as such this Form 4 amendment is being filed to report that (after taking into account such transfer) 527,918 shares were transferred via gift on December 15, 2025 (as was reported on the Original Form 4), rather than 527,710 shares (as was reported on the December Form 4/A). | Reflects the amount of securities directly beneficially owned by the reporting person as of the date hereof.
