The securities awarded are in the form of restricted stock units under the issuer's 2019 Incentive Award Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock unit will vest with respect to 25% of the restricted stock units on each of the first, second, third and fourth anniversaries of February 21, 2026, subject to the Reporting Person's continued service through the applicable vesting date.
