Each restricted stock unit represents a contingent right to receive one share of TDOC common stock. | The restricted stock units vest in full on the earlier of (i) May 22, 2026 and (ii) the day immediately preceding the issuer's 2026 annual meeting of stockholders. Vested shares will be delivered to the reporting person on the earliest to occur of (i) within 90 days following the date that is 30 days following the reporting person's separation of service, (ii) immediately prior to, on or within 30 days following a Change of Control (as defined in the issuer's Deferred Compensation Plan for Non-Employee Directors) and (iii) the reporting person's death.
