Reflects grant of restricted stock units under the Issuer's non-employee director compensation policy. One-quarter of the units vested upon grant and the remaining three-quarters of the units will vest in three equal installments on April 1, 2026, July 1, 2026 and October 1, 2026. The units convert into shares of common stock on a one-for-one basis. In accordance with the reporting person's deferral election, vested units will not settle until the reporting person ceases to serve as a member of the Issuer's board of directors or upon a change in control of the Issuer. | Does not include 5,130 restricted stock units from an award received in 2021 which was reported by the reporting person on Table II of the Form 4 for the award and which restricted stock units are likewise subject to deferred settlement.
