Represents the Reporting Person's annual equity retainer, which is issued as restricted stock units ("RSUs") that will be settled in shares of the Issuer's common stock. Each RSU represents the right to receive one share of common stock. The RSUs will vest in full on the date of the first annual meeting of shareholders of the Company at which directors are elected following the Grant Date, subject to the Reporting Person's continued service through such date.
