Pursuant to an Agreement and Plan of Merger dated as of March 20, 2025 (the "Merger Agreement") by and among Beacon Roofing Supply, Inc. (the "Company"), QXO, Inc. ("QXO") and Queen MergerCo, Inc., a wholly owned subsidiary of QXO (the "Merger Sub"), the Merger Sub merged with and into the Company. Pursuant to the terms of the Merger Agreement, each share of Common Stock of the Company held by the Reporting Person was converted into the right to receive $124.35 in cash. | Each RSU represented a contingent right to receive one (1) share of Common Stock of the Company. | Pursuant to the terms of the Merger Agreement, each vested RSU held by the Reporting Person was converted into the right to receive $124.35 in cash.
